CLM system: definition and use

CLM stands for contract lifecycle management. It covers drafting from templates, approval, signing, obligations, renewals and expiries.

When it is well integrated, each contract is linked to the customer or supplier, the orders it generates and the guarantees behind it.

Signs your contracts need attention

  • Signed contracts sit in folders and emails
  • Automatic renewals are discovered after the date
  • Penalties and contractual guarantees are not tracked
  • Nobody knows which version of the contract was signed
  • Legal reviews every contract from scratch because there are no approved templates
  • Bank guarantees expire without warning

Who it is for and when it does not fit

A good fit for

  • Companies with service, lease or construction contracts that renew automatically
  • Legal teams that review every contract from scratch
  • Companies tracking bank guarantees and bonds in a diary
  • Contractors with penalties and addenda per project

Not a fit when

  • Few contracts a year, without renewals or guarantees: a tidy folder and a calendar are enough
  • You only need signatures: the ERP’s e-signature is enough
  • The need lies in commercial negotiation: that is a job for a legal or commercial adviser

Cost of renewals discovered too late

Finding the signed version, checking dates by hand and rebuilding obligations takes hours every week. Work out the cost with your own figures.

Example: one in-house lawyer spending six hours a week finding versions and dates. Replace the values with yours.

Hours a month26 h
Cost a monthS/ 1,299
Cost a yearS/ 15,588

The estimate shows what the manual task costs today. It is not a savings promise.

Contract lifecycle

A CLM system takes the contract from the legal-approved template, negotiation with version control and signature, through obligations, milestones, guarantees, addenda, renewal and expiry, with alerts to each owner.

Odoo 20 covers signing: in Sign each request moves through To Sign and Signed, and may become Expired. The rest of the cycle is analysed and handled with an integrated CLM.

DMG-RT method

The method applied to contract management

Diego Muñoz leads every assessment: process and data first, then the tool, in short phases you approve.

  1. Contract inventory

We take a sample of active contracts and record their dates, obligations and guarantees to measure what is missing.

  2. Current circuit

We walk through the drafting, approval and signing of a recent contract, with times and exceptions.

  3. Requirements and options

With that information we compare options: a register in the ERP, a document system with e-signature or a CLM platform.

  4. Integration and vendor

We design the integration with purchasing, sales and payments. The chosen platform is implemented by its vendor.

Assessment dimensions

This analysis reviews the cycle of your contracts and subcontracts, from model and approval to amendments, billings and bank guarantees. The questions describe practices that can be checked in the office and on site.

What you receive

When you finish, you receive your level in five contract cycle dimensions and the gaps ranked by weight. Each gap shows the first action to close it.

17 scored questions and 12 context questions (type of operation, size, current system). Context questions are not scored: they let us read the result against similar operations.

  1. Templates and approval workflowLooks at whether contracts and subcontracts start from legal-approved models and go through a workflow by amount and type before signing.
  2. Contract register and versionsLooks at whether each contract has a single record with key dates, signed version, signature evidence and owner, available to whoever needs it.
  3. Obligations, amendments and penaltiesLooks at whether each contract's deliverables, deadlines, penalties and amendments have an owner and date, and whether the areas that must comply learn of them on time.
  4. Link to progress billing and paymentsLooks at whether purchase orders, progress billings and invoices point to the contract and whether billed amounts are checked against the agreed amounts.
  5. Guarantees, expiries and signing powersLooks at whether bank guarantees, bonds and renewal decisions have advance alerts, and whether the signer holds valid powers for that amount.

Market options

We do not implement CLM platforms. We help you decide between solving it with what you have or with a platform, and connect it to the ERP.

Clipboard with a ticked checklist

Odoo

Odoo Documents, Sign and Subscriptions cover part of the lifecycle: filing, signing and recurring contracts. They do not replace a full CLM platform.

Odoo 20 technical modules

  • sign
  • documents
  • sale_subscription

It is assessed on the same criteria as the other options.

Other options

Contract management platforms with templates, approval flows, date and obligation extraction, and built-in signing.

  • Icertis
  • DocuSign CLM
  • Ironclad
  • Agiloft
  • SAP Ariba Contracts
  • Conga Contracts

CLM and e-signature platforms; the list shows no preference.

Selection criteria

  • Automatic renewal alerts with configurable lead time
  • Bank guarantee register with bank, amount and expiry
  • Signature with legal validity in Peru
  • Link to the ERP purchase or sales order

Limits of the standard product

  • CLM implementation

    How it is handled

We do not do it: the chosen vendor does, with our coordination

  • Obligations and milestones in the ERP

    How it is handled

Approximated with documents, activities and subscriptions; without clause drafting or versioning

  • Bank guarantees at the bank

    How it is handled

Recording and alerts live in the system; renewal is handled with the bank

Peruvian localisation

  • Digital signature with an INDECOPI-recognised certificate when the contract requires it
  • Bank guarantees for public contracts (OECE, Law 32069)
  • Penalties and performance guarantees

Scope, in Diego’s words

I assess your contract lifecycle, help you choose the tool and design its integration with purchasing, sales and payments in the ERP. I do not implement contract management platforms; I coordinate with the vendor you choose.

Systems that connect with contract management

The contract is signed digitally, stored in the document manager and feeds procurement, suppliers and sales. The links lead to each system’s assessment.

Before you start

It depends on volume. With a few dozen contracts, a register with alerts in the ERP or a document system is usually enough.

No. We assess, help you choose and integrate with the ERP. The platform is implemented by its vendor.

A digital signature with an accredited certificate has the same validity as a handwritten one. For each contract type, confirm it with your legal adviser.

The online assessment and the 30-minute review are free. Later work is quoted by phase.
